By the time a term sheet is on the table, most of the decisions that will shape the return on a commercial acquisition have already been made. The site has been chosen, the capital stack sketched, and the assumptions baked in. The role of an advisor at that point is narrow. Engaged earlier, the same advisor can shape the outcome itself.

Owners often assume advisory work starts once a property is under contract. In practice, the highest-leverage conversations happen before the LOI—when target selection, hold thesis, and structure are still open.

Once financing is in motion, the questions available to you shrink to yes-or-no. The strategic questions—what you should be buying, why, and how you'll finance it three years from now—have already answered themselves by default.

What early engagement actually looks like

A pre-acquisition engagement is not a longer diligence checklist. It is a structured conversation about the thesis: what problem the asset solves for your portfolio, what a good outcome looks like at year three and year seven, and where the deal breaks if the market softens.

From that thesis we work backward into capital structure, sponsor economics, and the operating plan. When the LOI is drafted, it reflects a considered position rather than a reaction to what the seller offered.

Late-stage advisory can still recover meaningful value—renegotiating terms, restructuring the stack, protecting downside. But it works within a smaller aperture. The difference between an advisor engaged eight weeks before an offer and one engaged eight days after is measured in basis points and, more importantly, in optionality.
